Strategy, the Michael Saylor-led firm known for its massive Bitcoin holdings, is seeking to change how dividends accrue on its preferred stock offerings so that they build up every single day of the year — weekends and holidays included.

What Strategy Is Proposing

The company wants dividends on its suite of preferred shares — trading under the tickers STRF, STRC, STRK and STRD — to accrue across all 365 days of the calendar year, rather than only on business days. Under the proposed structure, holders would see their dividends accumulate continuously, regardless of whether markets are open.

Strategy has framed the change as a technical adjustment designed to smooth out how the securities behave. By spreading accrual evenly across every day, the firm argues, the pricing of the shares would become more predictable and less prone to sharp swings around weekends and market holidays.

Continuous accrual, Strategy says, is meant to take the guesswork out of how its preferred shares trade day to day.

Why It Matters

The reasoning centers on reducing volatility in the preferred stock. When dividends only accrue on business days, there can be irregular jumps in value tied to when accrual periods begin and end. A uniform daily approach is intended to iron out those distortions and give investors a steadier, more transparent instrument.

The preferred shares have become an increasingly important part of Strategy's capital strategy. The company has leaned on these offerings to raise funds, complementing its well-known reliance on equity and debt to accumulate Bitcoin.
