VanEck criticizes Metaplanet over executive dilution despite compensation cuts

By Diego Whitfield · · 2 min read

Investment firm VanEck has taken aim at Japanese Bitcoin treasury company Metaplanet, arguing that its executive compensation structure continues to dilute shareholders even after the firm reduced its potential share pool.

VanEck Raises Dilution Concerns

VanEck said Metaplanet's executive equity exposure still sits well above that of other companies pursuing digital asset treasury strategies. The criticism comes despite Metaplanet cutting its potential share pool by 41%, a move the company likely intended to address investor unease over dilution.

According to the investment firm, the reduction was not enough to bring Metaplanet in line with its peers. The concern centers on the amount of stock tied up in executive incentive plans, which can water down the value held by ordinary shareholders when those shares are issued.

Even after a sizable cut, Metaplanet's executive equity exposure remains well above its digital asset treasury peers.

Compensation Cuts Fall Short

Metaplanet has emerged as one of the most prominent corporate Bitcoin holders outside the United States, following a strategy modeled on aggressive accumulation of the cryptocurrency. That approach has drawn both enthusiasm and scrutiny from investors watching how such firms manage capital and reward leadership.

VanEck's assessment suggests that the compensation trim, while notable, does not fully resolve the underlying issue for shareholders wary of dilution. The firm framed the executive equity arrangements as a point of contention relative to comparable treasury-focused companies.

Key points from VanEck's critique include:

  • Metaplanet's executive equity exposure exceeds that of its treasury peers.
  • The company cut its potential share pool by 41%.
  • The reduction still leaves dilution concerns unaddressed, in VanEck's view.

The debate highlights broader questions facing the growing cohort of companies that hold Bitcoin on their balance sheets, as investors weigh the benefits of crypto exposure against corporate governance and shareholder value considerations.
