Japanese investment firm Metaplanet has announced a sharp reduction in its Series 10 executive stock acquisition rights while simultaneously moving to establish a wholly owned subsidiary in Hong Kong aimed at expanding its trading operations.
Slashing the Stock Pool
Metaplanet is cutting 131.3 million potential shares from its Series 10 acquisition rights, a reduction of roughly 41% from the previously allocated pool. The move trims the number of shares that could eventually enter circulation through the company's executive compensation and incentive program.
The decision reflects an effort to manage dilution concerns for existing shareholders, who have watched Metaplanet aggressively expand its share count to fund its Bitcoin accumulation strategy. Scaling back the pool signals a more measured approach to how the firm structures its equity-linked incentives.
Trimming millions of potential shares is a nod to shareholders wary of dilution in a company built on rapid expansion.
A New Hong Kong Base
Alongside the stock adjustment, Metaplanet plans to form a Hong Kong subsidiary capitalized at approximately $1 million. The new entity is designed to broaden the company's reach into a major Asian financial hub with an established framework for digital asset activity.
The subsidiary will handle trading across several asset classes rather than focusing on Bitcoin alone. According to the plan, its mandate spans multiple markets that would diversify Metaplanet's operational footprint beyond its core treasury strategy.
The Hong Kong unit is expected to engage in:
- Bitcoin trading and related digital asset activity
- Equity investments and securities dealing
- Credit products and other financial instruments
Metaplanet has become one of the most prominent corporate Bitcoin holders outside the United States, modeling parts of its strategy on the treasury approach popularized by other public companies. The dual announcement suggests the firm is refining both its capital structure and its geographic strategy as it seeks to sustain growth while addressing investor concerns.
