Grayscale files S-1 for first US Worldcoin ETF

By Diego Whitfield · · 2 min read

Grayscale Investments has submitted an S-1 registration statement to US regulators to launch what would be the country's first exchange-traded fund tracking Worldcoin, the digital token tied to Sam Altman's controversial iris-scanning identity project.

A Widening Product Lineup

The filing marks another step in Grayscale's push to broaden its offerings beyond the flagship digital assets that have long dominated the crypto investment landscape. Once known primarily for its Bitcoin and Ether vehicles, the asset manager has increasingly moved to package a variety of altcoins into regulated wrapper products aimed at both institutional and retail investors.

By filing for a Worldcoin ETF, Grayscale is betting that appetite exists for exposure to a project that blends cryptocurrency with a novel—and heavily scrutinized—approach to digital identity verification.

Grayscale is signaling that the next wave of crypto ETFs may reach well beyond Bitcoin and Ether.

What Worldcoin Brings

Worldcoin, developed by a venture co-founded by OpenAI chief Sam Altman, has drawn attention for its ambition to build a global identity network by scanning users' irises in exchange for tokens. The concept has generated significant debate, with privacy advocates and regulators in several jurisdictions raising concerns about the collection of biometric data.

That backdrop makes any investment product built around the token a notable development, as it introduces mainstream financial exposure to a project still navigating regulatory questions worldwide.

The Regulatory Road Ahead

An S-1 filing is only the opening move in a lengthy approval process. The document must clear review before any fund can begin trading, and US regulators have historically taken a cautious stance toward crypto products beyond the largest and most liquid assets.

Key considerations for the proposal include:

  • Whether regulators approve exposure to a smaller, more volatile altcoin
  • How custody and pricing of the underlying token will be handled
  • The scrutiny attached to Worldcoin's biometric identity model

If approved, the fund would give US investors a regulated avenue to gain exposure to Worldcoin without directly holding the token, continuing a trend of traditional finance structures being applied to an ever-expanding menu of digital assets.
