Binance buys $100 million Circle stake in five-year USDC promotion deal

By Diego Whitfield · · 2 min read

Binance has acquired a $100 million equity stake in Circle as part of a five-year agreement to promote the USDC stablecoin across its platform, deepening ties between the world's largest crypto exchange and the second-biggest stablecoin issuer.

Terms of the Deal

Under the arrangement, Circle sold roughly 1.24 million shares to Binance at $80.84 apiece, a transaction valued at approximately $100 million. The deal cements a strategic partnership that gives Binance a financial stake in the success of Circle's dollar-pegged token.

The agreement stretches over five years and centers on boosting the adoption and circulation of USDC, one of the most widely used stablecoins in the digital asset market. By taking an ownership position, Binance aligns its interests directly with Circle's growth trajectory.

A five-year commitment and a $100 million stake signal just how central stablecoins have become to the crypto industry's plumbing.

Ongoing Fees and Incentives

Beyond the equity purchase, Circle has committed to paying Binance a recurring monthly fee tied to the amount of USDC held through the exchange's wallet infrastructure. The structure creates a financial incentive for Binance to keep large volumes of the stablecoin flowing through its ecosystem.

The arrangement reflects a broader trend in which exchanges and issuers strike revenue-sharing deals to expand stablecoin usage. Stablecoins like USDC serve as key trading pairs and settlement rails across the crypto economy, making distribution partnerships increasingly valuable.

Key elements of the agreement include:

  • A $100 million equity investment by Binance in Circle
  • The sale of about 1.24 million shares at $80.84 each
  • A five-year promotional commitment for USDC
  • Monthly payments to Binance based on USDC balances held via its wallets

The tie-up underscores how competition among stablecoin issuers has intensified, with distribution through major exchanges emerging as a decisive battleground for market share.
