Adam Back's bitcoin treasury firm scraps SPAC merger, seeks new deal

By Diego Whitfield · · 2 min read

BSTR, the bitcoin treasury firm tied to Blockstream co-founder Adam Back, has abandoned its planned public listing under the terms agreed just under a year ago, ending a merger with Cantor Equity Partners as originally structured and forcing the company to look for a new path onto public markets.

Bitcoin Treasury Deal Falls Apart

The arrangement, first announced in July 2025, would have taken BSTR public through a special purpose acquisition company, or SPAC. Instead, the two parties have confirmed they will not complete the combination as laid out, dealing a setback to the firm's ambitions of trading on public exchanges.

The collapse highlights how rapidly conditions can change for the growing pack of bitcoin-focused vehicles racing to go public. What looked viable last summer no longer fits the current environment, and BSTR is now back at the drawing board.

A deal that once promised a clear route to public markets has instead left the firm searching for a new way forward.

Shareholder Vote Left in Limbo

A shareholder meeting that was expected to advance the transaction has been postponed indefinitely, with no replacement date announced. The delay effectively resets the process and leaves BSTR's timeline for a public debut unclear.

With the vote on hold, both companies must now reconsider how any future tie-up could be structured. For the moment, there is no firm indication of when — or if — a combination will ultimately close.

Hunting for New Terms

BSTR is reportedly seeking a fresh arrangement, though concrete details remain thin. Several key questions are still unanswered:

  • The structure of any revised deal
  • Whether Cantor Equity Partners stays involved
  • Any alternative partner or new timeline

The stumble reflects a broader challenge facing bitcoin treasury companies, which are contending with choppy markets as they try to secure durable routes to public listings. For firms leaning heavily on bitcoin as a core balance-sheet holding, price swings can upend the financing and valuation assumptions that support such deals.

For now, BSTR's public-market plans sit in the balance, and investors tracking the wider field of bitcoin treasury ventures are likely to watch closely for the company's next move.
